These Terms of Use ("Terms") govern your access to and use of our website, platform, mobile application, and services ("Services").

By accessing or using any part of our Services, you agree to be bound by these Terms, our Privacy Policy, and our Compliance Policies, including adherence to NDPR (Nigeria Data Protection Regulation) and GDPR (General Data Protection Regulation) standards.

If you do not agree, you must not use PropFundz.

1. Acceptance of Terms

By accessing or using PropFundz, you confirm that you are at least 18 years old, have the legal capacity to enter into binding agreements, and will use the Services only in compliance with all applicable laws and regulations.

2. About PropFundz

PropFundz.com is a peer-to-peer (P2P) real estate crowdfunding platform that connects verified real estate developers ("Developers") seeking funding with registered investors ("Investors") seeking profitable, insured real estate investment opportunities.

• PropFundz acts as a facilitator and does not guarantee investment returns.
• PropFundz does not act as a real estate agent, broker, or financial advisor.
• Developers receive crowdfunded funds in tranches, based on verified construction milestones.
• All projects listed are subject to rigorous due diligence processes and insurance-backed guarantees.

3. Platform Ownership

PropFundz.com is exclusively owned, designed, and operated by Grands Rois Verified Properties Within Ltd, headquartered in Nigeria.

All platform software, trademarks, business models, and innovations are proprietary intellectual property and are fully protected by applicable local and international laws.

4. User Accounts and Registration

• Users must register and provide accurate, complete information.
• You are responsible for maintaining the confidentiality of your login details.
• You agree to immediately notify PropFundz of any unauthorized use of your account.

5. Developer Obligations

Developers listing on PropFundz agree to:

• Submit verified land ownership or legal rights documentation.
• Provide detailed project descriptions, construction plans, and Bill of Quantities (BOQ).
• Undergo full KYC/AML checks and background verification.
• Pay a mandatory non-refundable ₦100,000 listing fee per project.
• Obtain a Performance Bond (insurance) covering at least 250% of the total funding sought.
• Accept milestone-based disbursement of crowdfunded amounts.
• Agree that all project sales will be controlled by PropFundz until investors are fully repaid.
• Comply with all platform rules, Nigerian real estate laws, and international crowdfunding best practices.

6. Investor Obligations and Disclosures

Investors acknowledge that:

• All investments carry risk, including loss of principal.
• Past performance is no guarantee of future success.
• PropFundz does not guarantee project success, liquidity, or investment profitability.
• Each investment will attract a 1% platform markup, deducted from the invested amount, to cover platform operational, insurance, compliance, and security costs.
• Withdrawal, liquidation, or resale of investments is subject to platform rules and the investment timeline.
• PropFundz is not responsible for market losses or delays beyond its control.

Invest responsibly and based on your own judgment.

7. Fees and Financial Sustainability

To ensure the sustainable operation, security, marketing, and compliance of the platform:

• Developers must pay a ₦100,000 non-refundable listing fee per project.
• Investors contribute a 1% markup on their invested amount, which is used for:
  • Platform maintenance and upgrades
  • Marketing to investors (including influencer campaigns)
  • Legal, compliance, and insurance partner costs
  • Payment processing and escrow management
  • Agent commissions and rewards
• Additional charges (if applicable) for resale, exit fees, or liquidation processes will be disclosed clearly before engagement.

8. Data Privacy Compliance

PropFundz is committed to full compliance with NDPR (Nigeria Data Protection Regulation) and GDPR (General Data Protection Regulation), including:

• Data minimization: Only collecting what is necessary.
• User consent: Explicit consent required for data processing.
• Data protection: Implementing strong security measures.
• User rights: Right to access, correct, delete, or request transfer of your data.

By using PropFundz, you consent to the collection and use of your information as described in our Privacy Policy.

9. Intellectual Property Rights

All content, trademarks, logos, software, and creative works on PropFundz are owned or licensed to Grands Rois Verified Properties Within Ltd.

Users may not copy, modify, distribute, sell, or license any part of the platform without prior written consent.

10. Prohibited Conduct

Users must not:

• Submit fraudulent or false information.
• Violate intellectual property rights.
• Bypass platform security features.
• Attempt to hack, reverse engineer, or compromise platform infrastructure.

Violations will result in account suspension or termination and may trigger legal action.

11. Disclaimer of Warranties

PropFundz operates "AS IS" and "AS AVAILABLE" without warranties of any kind.

We do not guarantee that:

• Projects will be fully funded,
• Construction will be completed without delay,
• Investors will achieve their expected returns.

Use of the platform is at your own risk.

12. Limitation of Liability

In no event shall PropFundz or Grands Rois Verified Properties Within Ltd be liable for:

• Indirect, incidental, special, consequential, or punitive damages,
• Loss of investment, profit, or business opportunity,
• Damages exceeding the amount of fees you have paid to PropFundz in the last six months.

Certain jurisdictions may not allow such limitations, so they may not fully apply.

13. Indemnity

You agree to indemnify and hold harmless PropFundz, its affiliates, directors, officers, and employees against all losses, damages, claims, and expenses arising from your breach of these Terms.

14. Modifications to the Platform

PropFundz may:

• Modify or discontinue features without notice.
• Update these Terms periodically.

Continued use of the platform after updates means you accept the new Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria.

All disputes shall first be resolved through mediation at the Lagos Court of Arbitration.

If unresolved, disputes will be finally resolved through binding arbitration seated in Lagos.

16. Entire Agreement

These Terms, our Privacy Policy, and any other posted rules constitute the complete agreement between you and PropFundz regarding platform use.
